• ERP, AI, and automation tools including ZarooriJini
• Training, consulting, and advisory services

Note: Zaroori Retail acts as a service provider and facilitator and does not guarantee sales, revenue, or marketplace approvals, as these are subject to platform policies and market conditions.

By using this Website or availing our services, you confirm that:

• You are at least 18 years of age
• You are legally competent to enter into a binding contract
• You are authorized to represent the brand/business you claim to represent

Clients agree to:

• Provide accurate, complete, and timely information
• Share all required documents, certifications, and approvals
• Comply with applicable laws, marketplace policies, and regulations
• Ensure product authenticity, quality, and legal compliance

Zaroori Retail shall not be responsible for delays, rejections, penalties, or losses arising due to incomplete, incorrect, or delayed information from the client.

All marketplace-related services are subject to:

• Platform policies
• Algorithm changes
• Compliance requirements
• Operational decisions of the respective marketplace

Zaroori Retail has no control over final approvals, suspensions, delistings, or account actions taken by marketplaces such as Amazon, Myntra, Nykaa, AJIO, Blinkit, Tata CLiQ, etc.

• All fees are quoted exclusive of applicable taxes unless stated otherwise
• Payments must be made as per agreed timelines
• Delays in payment may result in pause or termination of services
• Government fees, testing charges, certifications, ad spends, and marketplace fees are not included, unless expressly mentioned

Payments once made are non-refundable, except where explicitly stated in a signed agreement.

Service fees are generally non-refundable.

Refund eligibility (if any) will be governed strictly by the signed service agreement.

No refunds shall be issued for:

• Delays caused by the client
• Marketplace rejection due to non-compliance
• Change of business decision by the client
• Partial service usage

All content on this Website including:

• Text, graphics, logos, designs
• Software, tools, dashboards
• AI engines, workflows, reports

are the intellectual property of Zaroori Retail and may not be copied, reproduced, distributed, or misused without prior written consent.

Client-owned data and brand assets remain the property of the client.

Use of ZarooriJini (ERP / AI / LMS / Tools) is subject to:

• Access permissions defined by Zaroori Retail
• Subscription or service agreement terms
• Fair usage policies

Unauthorized access, misuse, data scraping, or reverse engineering is strictly prohibited.

Both parties agree to maintain strict confidentiality of:

• Business information
• Financial data
• Strategies, reports, and dashboards
• Login credentials and access data

This obligation survives termination of services.

Zaroori Retail shall not be liable for:

• Loss of profit, revenue, or goodwill
• Marketplace penalties or suspensions
• Indirect, incidental, or consequential damages
• Business losses due to market conditions or algorithm changes

Our maximum liability, if any, shall be limited to the fees paid for the specific service.

Zaroori Retail reserves the right to suspend or terminate services if:

• Client breaches these Terms
• Payments are delayed or defaulted
• Misrepresentation or illegal activity is detected
• Abuse, threats, or unethical conduct occurs

Termination does not entitle the client to refunds unless contractually agreed.

The Website may contain links or integrations with third-party platforms.

Zaroori Retail is not responsible for the content, policies, or actions of such third parties.

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.

Zaroori Retail reserves the right to update or modify these Terms at any time.
